TradeDepot Privacy Statement

Protecting the individual's privacy on the Internet is crucial to the future of Internet-based business and the move towards a true Internet economy. We have created this Privacy Statement to demonstrate our firm commitment to the individual's right to privacy. This Privacy Statement outlines our handling practices with regard to such information that can be used to directly or indirectly identify an individual (“Personal Data”).

This Privacy Statement applies to www.tradedepot.co and any other website which references this Privacy Statement. The data controller in the case of www.tradedepot.co is TradeDepot Inc., 1390 Market, St, Suite 200, San Francisco, CA 94102, USA. Some TradeDepot entities, offerings, programs and/or websites may have their own, possibly different, privacy statements. We therefore encourage you to read the privacy statements of each of the TradeDepot websites, offerings or programs you visit or review.

Global Privacy Fundamentals

Our privacy practices set out herein reflect current global principles and standards on handling Personal Data. These principles include notice of data use, choice of data use, data access, data integrity, security, onward transfer, and enforcement/oversight. We abide by the privacy laws in the countries where we do business

As may be required by applicable law, we may also seek your explicit consent to process certain Personal Data collected on this website or volunteered by you. Kindly note that any consent will be entirely voluntarily. In case you do not grant the requested consent to the processing of your Personal Data or (in accordance with Subsection 10 (Data Retention) below) later inform TradeDepot that you do not want TradeDepot to further process your Personal Data, however, the (further) use of certain offerings or services of TradeDepot may be either not possible or limited in scope.

Collection and Processing of Your Personal Data

To serve you better and understand your needs and interests, TradeDepot collects, exports, and uses Personal Data with adequate notice (as set out herein) and, where legally required, consent, along with required filings with data protection authorities, when applicable.

When you visit our website, we may record your IP address and use cookies and other Internet technologies (referred to below as Automated Tools and Embedded Web Links) to gather information about our visitors and their interests. Depending on the Automated Tools used, the gathered data comprise, in addition to your IP address, the cloud identity we assign to you when you register with TradeDepot, the type of browser you use, the TradeDepot websites you have visited, the objects you have clicked on a certain TradeDepot website, the time you have spent on a certain website, the referring website from which you have accessed a TradeDepot website and the foreign destination website which you access from an TradeDepot website. The technologies used and the information collected are described in more detail in Subsection 5 (Automated Tools) below. After you have granted your consent ( where legally required ), TradeDepot may add information collected by way of Automated Tools to user profiles TradeDepot retains about you. Such additional information includes your user ID, website preferences and your interest in TradeDepot’s products.

We may further collect and process any Personal Data that you volunteer to us, e.g. when you register for events or other offerings of TradeDepot, subscribe to newsletters, participate in online surveys, discussion groups, forums or TradeDepot’s chat service, or when you make purchases or otherwise submit your contact details to TradeDepot. In case you provide TradeDepot with your IDs of social media, TradeDepot may retrieve publicly available information about you.

Such Personal Data will comprise in the individual case (a subset of): your first and last name, your postal and email address (as further detailed in Subsection 2. (Email Addresses) below), your telephone number, log in data for social networks, financial and banking details relevant to process your order (as further detailed in Subsection 3. (Shopping or Event Registration) below), and certain information about the company you are working for (i.e. your company’s name and postal address, your job title and seniority level) as well as information as to which relationship (i.e. which version of TradeDepot’s terms of use you have accepted or what our choice regarding receiving marketing materials from TradeDepot is) between TradeDepot and you exists.

Use and Purpose of Collected Personal Data

The information TradeDepot collects to understand your needs and interests helps TradeDepot deliver a consistent and personalized experience. We will use such information only as described in this Privacy Statement and/or in the way we specify at the time of collection. We will not subsequently change the way your Personal Data is used without your consent, as required by applicable law. We will exclusively use your Personal Data for the following purposes:

  1. To process your orders and deliver the products, services and information that you have ordered
  2. To keep you up to date on the latest product announcements, software updates, software upgrades, security patches, system enhancements, special offers, and other information regarding TradeDepot’s software and services. This may occasionally include information from other technology companies or business partners about products and services that can add value to your TradeDepot products. In this regard, you expressly acknowledge that your contact details may be shared by TradeDepot with such other companies of the TradeDepot group. Furthermore, you acknowledge that any information required to track your choices regarding receiving marketing materials (i.e. depending on the country where the relevant TradeDepot group company operates whether you have granted an explicit consent into receiving and/or opted-out of receiving marketing materials) may be stored and exchanged between any of the above mentioned companies
  3. To tailor information about our products and services to your individual interests. For example, during a visit to our website, it allows us to provide you with specific information on products and services that may be of interest;
  4. To provide the ability to create by way of the TradeDepot Cloud ID Service a single user profile which one individual can use within the whole TradeDepot group of companies to access web offerings and services. Therefore, you acknowledge that such Personal Data required for the creation of your user profile may be shared within and used by the whole TradeDepot group of companies for this purpose. Such service may also allow you to share information about you (including Personal Data) with other registered users of the same service. You can use the functionality of the relevant service to determine which information you want to share;
  5. Beyond the TradeDepot Cloud ID Service profile described in the bullet point above to provide the ability to create other user profiles and access to other service specific personal profile areas (e.g. in connection with TradeDepot’s own partner programs, forums and communities). Since such profiles may allow you to access services of different members of the TradeDepot group of companies you acknowledge that such Personal Data required for the creation of your user profile may be shared within and used by the whole TradeDepot group of companies for this purpose. Such service may also allow you to share information about you (including Personal Data) with other registered users of the same service. You can use the functionality of the relevant service to determine which information you want to share;
  6. To provide a personalized user experience and view protected content
  7. To conduct online "Click to Chat" and "Click to Call" sessions;
  8. In order to ensure and control the quality of the information and experience you have during chat sessions with TradeDepot by educating our personnel to effectively answer your questions
  9. To provide the ability to contact you in order to respond to your inquiries, and provide you with shipping and billing information, and to provide customer feedback and support;
  10. To conduct questionnaires and surveys in order to provide better products and services to our customers and end users. Your completion of any questionnaires is voluntary;
  11. To support recruitment inquiries;
  12. To prepare anonymized data regarding the use of TradeDepot’s websites and offerings. TradeDepot will use such anonymized data only for the improvement of such websites and offerings
  13. To meet contractual obligations; and
  14. To comply with applicable regulatory requirements, in particular resulting from export laws. TradeDepot and its products, technologies and services are subject to the export laws of various countries, including without limitation, to those of the European Union and its member states, and the United States of America. You acknowledge that, pursuant to the applicable export laws, trade sanctions and embargoes issued by these countries, TradeDepot is required to take measures to prevent entities, organizations and parties listed in government issued sanctioned party lists from accessing certain products, technologies and services through TradeDepot’s websites or other delivery channels controlled by TradeDepot. You therefore acknowledge and agree that TradeDepot may (i) automatically check any user registration data and other information you provide about your identity against applicable sanctioned party lists; (ii) regularly repeat such checks whenever a sanctioned party list is updated or when you update your information; (iii) block your access to TradeDepot’s services and systems in case of a potential match; and (iv) in case of a potential match contact you in order to confirm your identity.

    TradeDepot will only gather information related to your visit to the TradeDepot site. We do not track or collect Personal Data from your visits to companies or entities outside the TradeDepot Group of companies beyond the information stated above in the Subsection III. (Collection and Processing of Your Personal Data).

E-mail Addresses

If you choose to give us your e-mail address, we will communicate with you via e-mail. We do not share your e-mail address with others outside the TradeDepot group of companies unless this is required for the business relationship between you and TradeDepot or if you register for third party services. You can choose not to receive any more e-mails at any time (in accordance with Subsection 9. (Choice/Opt-Out) below). However, such choice will not affect the sending of emails that are strictly required to perform the business relationship between you and TradeDepot.

If you choose to register for third-party services, we may need to send some information from your registration with TradeDepot to the service provider, possibly including your e-mail address

Shopping or Event Registration

Our site includes order forms that you fill out to request information, products, and services. These forms may in addition to the information described above collect your financial information, such as your banking details or credit card numbers. TradeDepot promises to use any financial information that you submit solely for billing and payment purposes for that special transaction. This may include the transfer of your data to third parties involved in executing the transaction, such as banks, credit card companies, payment facilitators and other financial and credit control institutions.

IP Addresses

We use IP addresses to help diagnose problems, to establish the country from which a user is using our websites and services in order to provide appropriate legal statements, to administer our website, and to gather demographic information as further stated in the below Subsection 5 (Automated Tools). We may also use IP addresses or other information, as further explained in Subsection 5 (Automated Tools) below you have shared on this website or at any earlier occasion or a campaign code, to determine which pages on our sites you visit and which topics may be of interest to you so we can provide you with information about relevant products and services.

TradeDepot may also collect IP addresses (and other technical information such as browser type) during a Click-to-Chat or Click-to-Call session that you initiate. This information is collected when you connect to TradeDepot so that we may identify your session, deliver content based on the technical capabilities of your browser, and for quality control purposes. Your IP address will not be used to identify you unless you provide your prior consent.

TradeDepot will only gather information related to your visit to the TradeDepot site. We do not track or collect Personal Data from your visits to companies or entities outside the TradeDepot Group of companies beyond the information stated above in the Subsection III. (Collection and Processing of Your Personal Data).

Automated Tools

In addition to the information you provide, TradeDepot may also collect information during your visit to a TradeDepot website through Automated Tools, which include Web beacons, cookies, embedded Web links, and other commonly used information-gathering tools. These tools collect certain standard information that your browser sends to our website such as your browser type and language, access times, and the address of the website from which you arrived at an TradeDepot website. Using these tools, TradeDepot is also able to confirm receipt of e-mails that the recipient consented to receive, and can track other information such as pages visited on the relevant TradeDepot site and whether or not the recipient registers for an event offered by TradeDepot and certain other aggregate data that is not related to a particular individual

Unless another means to make your choice is listed below, you may refuse the use of Automated Tools like cookies (i) if the relevant website supports TRUSTe Consent Manager by clicking on the respective link in the footer of the website or, (ii) if TRUSTe Consent Manager is not available, by selecting the appropriate settings in your browser. Google Analytics

Some websites which refer to this Privacy Statement use Google Analytics. Google Analytics uses cookies, which are text files placed on your computer to help the website analyze how users use the site. The information generated by the cookie about your use of the website (including your IP address) will be transmitted to and stored by Google on servers in the United States. Google will use this information for the purpose of evaluating your use of the website, compiling reports on site activity for site operators and providing other services relating to site activity and internet usage.

Google may also transfer this information to third parties where required to do so by law, or where such third parties process the information on Google's behalf. Google will not associate your IP address with any other data held by Google.

TradeDepot Web Analytics

Some websites which refer to this Privacy Statement use TradeDepot Web Analytics (“TWA”). TWA helps to analyze how users use the relevant site. The information generated (including a part of your IP address and a browser-ID) will be transmitted to and stored by TradeDepot. TradeDepot will use this information only for the purpose of evaluating your use of the website and compiling reports on website activity for website operators – and finally, to improve TradeDepot’s websites.

Each website which uses TWA contains a separate statement regarding such use and provides for an option of the user to opt-out of the tracking by TWA either directly in the relevant statement or by way of the TRUSTe Consent Manager which can be reached over a link on the relevant page (where available)

Usage tracking for marketing purposes

TradeDepot websites may collect the way you are accessing and using such websites by other means in order to prepare usage profiles that are used to determine which content is the most appropriate to be displayed while you visit a certain website.

In this case, TradeDepot is capturing your usage behavior (websites visited, point in time a website has been visited, activity on a website/clicks made on (objects of) a website, browser type, operating or computing system used, referring website from which you have accessed a TradeDepot website, the location from where you access a website) together with a unique identifier (like your IP address or a cookie ID) that allows TradeDepot to establish that there is a certain person active on its websites but no information like your name that can be used to directly identify you. TradeDepot will use the collected information only in order to display appropriate and relevant content on its websites.

Embedded Web Links

Emails from TradeDepot often use links designed to lead you to a relevant area on the Web, after redirection through TradeDepot's servers. The redirection system allows TradeDepot to change the destination URL of these links, if necessary, and to determine the effectiveness of our marketing initiatives.

In emails, such links may also allow TradeDepot to determine if you have clicked on a link in the email, and the information about this interaction may be connected to your personal identity. If you do not want TradeDepot to collect information about the links you clicked, you can simply choose not to click on the links in an e-mail that TradeDepot sends you.

Cookies

Cookies are identifiers that can be sent from a site via your browser to be placed on your computer's hard drive. TradeDepot uses cookies to deliver personalized content, to save you having to re-enter your password or complete registration forms repeatedly, to keep track of your shopping cart, and to tailor our information offerings to how you and others use the site.

Terms of Use

By signing up for the TradeDepot services or any of the services of TradeDepot Inc. or its affiliates (“TradeDepot”) you are agreeing to be bound by the following terms and conditions (“Terms of Service”). The services offered by TradeDepot under the Terms of Service include various products and services to help you sell goods and services to buyers, whether online (“Online Services”), in person (“TD Seller Services”), or both. Any such services offered by TradeDepot are referred to in these Terms of Service as the “Services”. Any new features or tools which are added to the current Services shall be also subject to the Terms of Service. You can review the current version of the Terms of Service at any time at https://www.tradedepot.co/terms#seller. TradeDepot reserves the right to update and change the Terms of Service by posting updates and changes to the TradeDepot website. You are advised to check the Terms of Service from time to time for any updates or changes that may impact you. You must read, agree with and accept all of the terms and conditions contained in this Terms of Service agreement, including TradeDepot’s Acceptable Use Policy (“AUP”) and Privacy Policy before you may become a TradeDepot user.

Account Terms

  1. You must be 18 years or older or at least the age of majority in the jurisdiction where you reside or from which you use this Service.
  2. To access and use the Services, you must register for a TradeDepot account (“Account”) by providing your full legal name, current address, phone number, a valid email address, and any other information indicated as required. TradeDepot may reject your application for an Account, or cancel an existing Account, for any reason, in our sole discretion.
  3. You acknowledge that TradeDepot will use the email address you provide as the primary method for communication.
  4. You are responsible for keeping your password secure. TradeDepot cannot and will not be liable for any loss or damage from your failure to maintain the security of your Account and password.
  5. You are responsible for all activity and content such as photos, images, videos, graphics, written content, audio files, code, information, or data uploaded, collected, generated, stored, displayed, distributed, transmitted or exhibited on or in connection with your Account (“Materials”).
  6. A breach or violation of any term in the Terms of Service, including the AUP, as determined in the sole discretion of TradeDepot will result in an immediate termination of your services.

Account Activation

  1. Subject to section 2.1.2, the person signing up for the Service will be the contracting party (“Account Owner”) for the purposes of our Terms of Service and will be the person who is authorized to use any corresponding account we may provide to the Account Owner in connection with the Service.
  2. If you are signing up for the Service on behalf of your employer, your employer shall be the Account Owner. If you are signing up for the Service on behalf of your employer, then you represent and warrant that you have the authority to bind your employer to our Terms of Service.

General Conditions

You must read, agree with and accept all of the terms and conditions contained in these Terms of Service, including the AUP and the Privacy Policy before you may become a member of TradeDepot.

  1. The Terms of Service shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria applicable therein, without regard to principles of conflicts of laws. The parties irrevocably and unconditionally submit to the exclusive jurisdiction of the courts of the Federal Republic of Nigeria with respect to any dispute or claim arising out of or in connection with the Terms of Service. The United Nations Convention on Contracts for the International Sale of Goods will not apply to these Terms of Service and is hereby expressly excluded.
  2. You acknowledge and agree that TradeDepot may amend these Terms of Service at any time by posting the relevant amended and restated Terms of Service on TradeDepot’s website, available at https://www.tradedepot.co/terms#privacy and such amendments to the Terms of Service are effective as of the date of posting. Your continued use of the Services after the amended Terms of Service are posted to TradeDepot’s website constitutes your agreement to, and acceptance of, the amended Terms of Service. If you do not agree to any changes to the Terms of Service, do not continue to use the Service.
  3. You may not use the TradeDepot service for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws), the laws applicable to you in your customer’s jurisdiction, or the laws of Federal Republic of Nigeria. You will comply with all applicable laws, rules and regulations in your use of the Service.
  4. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service without the express written permission by TradeDepot.
  5. You shall not purchase search engine or other pay per click keywords (such as Google AdWords), or domain names that use TradeDepot or TradeDepot trademarks and/or variations and misspellings thereof.
  6. Questions about the Terms of Service should be sent legal@tradedepot.co
  7. You understand that your Materials, may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.
  8. You acknowledge and agree that your use of the Service, including information transmitted to or stored by TradeDepot, is governed by its privacy policy at https://www.tradedepot.co/terms
  9. The Terms of Service may be available in languages other than English. To the extent of any inconsistencies or conflicts between these English Terms of Service and TradeDepot’s Terms of Service available in another language, the most current English version of the Terms of Service at https://www.tradedepot.co/terms will prevail.

TradeDepot Rights

  1. We reserve the right to modify or terminate the Service for any reason, without notice at any time
  2. We reserve the right to refuse service to anyone for any reason at any time.
  3. We may, but have no obligation to, remove Materials and suspend or terminate Accounts if we determine in our sole discretion that the goods or services offered via a store, or the Materials uploaded or posted to a store, violate our Acceptable Use Policy (“AUP”) or these Terms of Service.
  4. Verbal or written abuse of any kind (including threats of abuse or retribution) of any TradeDepot customer, TradeDepot employee, member, or officer will result in immediate Account termination.
  5. TradeDepot does not pre-screen Materials and it is in our sole discretion to refuse or remove any Materials from the Service.
  6. We reserve the right to provide our services to your competitors and make no promise of exclusivity in any particular market segment. You further acknowledge and agree that TradeDepot employees and contractors may also be TradeDepot customers/merchants and that they may compete with you, although they may not use your confidential information in doing so.
  7. In the event of a dispute regarding Account ownership, we reserve the right to request documentation to determine or confirm Account ownership. Documentation may include, but is not limited to, a scanned copy of your business license, government issued photo ID, the last four digits of the credit card on file, etc.
  8. TradeDepot retains the right to determine, in our sole judgment, rightful Account ownership and transfer an Account to the rightful owner. If we are unable to reasonably determine the rightful Account owner, TradeDepot reserves the right to temporarily disable an Account until resolution has been determined between the disputing parties.

Limitation of Liability

  1. You expressly understand and agree that TradeDepot shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses resulting from the use of or inability to use the service.
  2. In no event shall TradeDepot or our suppliers be liable for lost profits or any special, incidental or consequential damages arising out of or in connection with our site, our services or these Terms of Service (however arising including negligence). You agree to indemnify and hold us and (as applicable) our parent, subsidiaries, affiliates, TradeDepot partners, officers, directors, agents, employees, and suppliers harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms of Service or the documents it incorporates by reference (including the AUP), or your violation of any law or the rights of a third party.
  3. Your use of the Service is at your sole risk. The Service is provided on an “as is” and “as available” basis without any warranty or condition, express, implied or statutory.
  4. TradeDepot does not warrant that the Service will be uninterrupted, timely, secure, or error-free.
  5. TradeDepot does not warrant that the results that may be obtained from the use of the Service will be accurate or reliable.
  6. TradeDepot does not warrant that the quality of any products, services, information, or other Materials purchased or obtained by you through the Service will meet your expectations, or that any errors in the Service will be corrected.

Waiver and Complete Agreement

The failure of TradeDepot to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service and the documents it incorporates by reference constitute the entire agreement between you and TradeDepot and govern your use of the Service, superseding any prior agreements between you and TradeDepot (including, but not limited to, any prior versions of the Terms of Service).

Intellectual Property and Customer Content

  1. We do not claim any intellectual property rights over the Materials you provide to the TradeDepot service. All Materials you upload or provide us remains yours. You can remove your TradeDepot store at any time by sending a request to support@tradedepot.co.
  2. By uploading Materials, you agree: (a) to allow other internet users to view the Materials you post publicly to your store; (b) to allow TradeDepot to store, and in the case of Materials you post publicly, display, your Materials; and (c) that TradeDepot can, at any time, review all the Materials submitted to its Service, although TradeDepot is not obligated to do so.
  3. You retain ownership over all Materials that you upload to a TradeDepot store; however, by making your store public, you agree to allow others to view Materials that you post publicly to your store. You are responsible for compliance of the Materials with any applicable laws or regulations.
  4. We will not disclose your confidential information to third parties, except as required in the course of providing our services. Confidential information includes any Materials or information provided by you to us which is not publicly known. Confidential information does not include information that: (a) was in the public domain at the time we received it; (b) comes into the public domain after we received it through no fault of ours; (c) we received from someone other than you without breach of our or their confidentiality obligations; or (d) we are required by law to disclose.
  5. TradeDepot shall have the non-exclusive right and license to use the names, trademarks, service marks and logos associated with your store to promote the Service

TD Seller Services

In addition to the terms applicable to Services generally, the following terms apply to your access and use of the TD Seller Services. The TD Seller Services include the TradeDepot Supplier Dashboard website located at https://app.tradedepot.co or any variant thereof, the Point-of-Sales software (“TD POS Software”), programs, documentation, apps, tools, internet-based services and components, and any updates thereto provided to you by TradeDepot.

  1. Access to and use of the TD Seller Services requires that you have an active and valid Account.
  2. You agree to use the TD Seller Services in accordance with all procedures that may be provided by TradeDepot from time to time.
  3. While the TD Seller Services use encryption technology, and the law generally prohibits third parties from monitoring transmission, we cannot guarantee security with respect to the connection to the TD Seller Services, and we will not be liable for any unauthorized access to or use of data transmitted via the TD Seller Services.

Cancellation and Termination

  1. You may cancel your Account at anytime by emailing help@tradedepot.co and then following the specific instructions indicated to you in TradeDepot’s response.
  2. Upon termination of the Services by either party for any reason:
    1. TradeDepot will cease providing you with the Services and you will no longer be able to access your Account;
    2. where applicable, any outstanding balance owed to TradeDepot for your use of the Services through the effective date of such termination will immediately become due and payable in full;
  3. We reserve the right to modify or terminate the TradeDepot Service or your Account for any reason, without notice at any time.
  4. Fraud: Without limiting any other remedies, TradeDepot may suspend or terminate your Account if we suspect that you (by conviction, settlement, insurance or escrow investigation, or otherwise) have engaged in fraudulent activity in connection with the Site.

Modifications to the Service

  1. TradeDepot reserves the right at any time, and from time to time, to modify or discontinue, the Service (or any part thereof) with or without notice.
  2. TradeDepot shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service

Acceptable Use Policy

By accessing or using TradeDepot, you agree to comply with the terms and conditions of this Acceptable Use Policy.

Restricted Activities

You may not use TradeDepot in connection with any product, service, transaction or activity that:

  1. violates any law or government regulation, or promotes or facilitates such by third parties;
  2. violates any rule or regulation of Visa, MasterCard, Verve or any other electronic funds transfer network (each, a “Card Network”);
  3. is fraudulent, deceptive, unfair or predatory;
  4. causes or threatens reputational damage to us or any Card Network;
  5. involves any of the business categories listed in clause 2; or.
  6. results in or creates a significant risk of chargebacks, penalties, damages or other harm or liability.

Certain Business Categories

You may not use TradeDepot in connection with any product, service, transaction or activity that:

  1. falls within the Prohibition List of the Nigerian Customs Administration of the Federal Republic of Nigeria
  2. relates to the sale and/or purchase of:
    1. banned narcotics, steroids, certain controlled substances or other products that present a risk a consumer's safety;
    2. blood, bodily fluids or body parts;
    3. burglary tools;
    4. counterfeit items;
    5. illegal drugs and drug paraphernalia;
    6. fireworks, destructive devices and explosives;
    7. identity documents, government documents, personal financial records or personal information (in any form, including mailing lists);
    8. lottery tickets, sweepstakes entries or slot machines;
    9. offensive material or hate speech or items that promote hate, violence, racial intolerance, or the financial exploitation of a crime;
    10. police badges or uniforms;
    11. prescription drugs or devices;
    12. chemicals;
    13. recalled items;
    14. prohibited services;
    15. stocks or other securities;
    16. stolen property;
    17. items that infringe or violate any copyright, trademark, right of publicity or privacy or any other proprietary right under the laws of any jurisdiction;
    18. sales of currency without BDC license (cryptocurrency);
    19. stolen property;
    20. equity crowdfunding;
    21. obscene material or pornography;
    22. certain sexually oriented materials or services;
    23. certain firearms, firearm parts or accessories, ammunition, weapons or knives; or
    24. any product or service that is illegal or marketed or sold in such a way as to create liability to TradeDepot.
  3. relate to transactions that:
    1. show the personal information of third parties in violation of applicable law;
    2. support pyramid or ponzi schemes, matrix programs, other "get rich quick" schemes or certain multi-level marketing programs;
    3. are associated with purchases of annuities or lottery contracts, lay-away systems, off-shore banking or transactions to finance or refinance debts funded by a credit card;
    4. pertain to ammunitions and arms; and
    5. involve gambling, gaming and/or any other activity with an entry fee and a prize, including, but not limited to casino games, sports betting, horse or greyhound racing, lottery tickets, other ventures that facilitate gambling, games of skill (whether or not it is legally defined as a lottery) and sweepstakes unless the operator has obtained prior approval from TradeDepot and the operator and customers are located exclusively in jurisdictions where such activities are permitted by law.
    6. fireworks, destructive devices and explosives;

Actions by TradeDepot

If, in our sole discretion, we believe that you may have engaged in any violation of this Acceptable Use Policy, we may (with or without notice to you) take such actions as we deem appropriate to mitigate risk to TradeDepot and any impacted third parties and to ensure compliance with this Acceptable Use Policy. Such actions may include, without limitation:

  1. Suspending, restricting or terminating your access to and use of the TradeDepot’s Services;
  2. Terminating our business relationship with you, including termination without liability to TradeDepot of any payment service agreement between you and TradeDepot;
  3. Taking legal action against you;
  4. Contacting and disclosing information related to such violations to (i) persons who have sold/purchased goods or services from you, (ii) any banks or Card Networks involved with your business or transactions, (iii) law enforcement or regulatory agencies, and (iv) other third parties that may have been impacted by such violations; or
  5. Assessing against you any fees, penalties, assessments or expenses (including reasonable attorneys’ fees) that we may incur as a result of such violations, which you agree to pay promptly upon notice.

Updates, Modifications & Amendments

We may need to update, modify or amend our Acceptable Use Policy at any time. We reserve the right to make changes to this Acceptable Use Policy.
